BirthBridge Stripe Agreement

1. Introduction

This Stripe Payment Waiver ("Waiver") is a binding agreement between BirthBridge, LLC ("BirthBridge," "we," "us," "our") and you ("Birth Professional," "you," "your"). By enabling Stripe payments on your BirthBridge account, you agree to the terms and conditions set forth in this Waiver.


2. Acknowledgment and Acceptance

By enabling Stripe payments, you:

  • Acknowledge that you have read, understood, and agree to the terms of this Waiver.

  • Confirm that you are at least 18 years old and capable of entering into a legally binding agreement.


3. Stripe Account Setup

  • You are solely responsible for setting up and maintaining your Stripe account.

  • You agree to comply with all applicable terms, conditions, and policies set forth by Stripe, Inc. ("Stripe").

  • Failure to set up and maintain your Stripe account will result in your inability to accept payments or utilize certain features on the BirthBridge platform, such as virtual experiences.


4. Fees and Charges

4.1 Stripe Fees

  • Stripe charges payment processing fees (currently 2.9% + $0.30 per transaction). These fees are your responsibility and will be deducted from payments you receive.

  • Stripe’s fee structure is subject to change, and you agree to comply with the updated terms as notified by Stripe.

4.2 Payment Charge Responsibility

  • You may choose whether the Stripe payment processing fee is absorbed by you or passed on to the customer at your discretion.

4.3 Platform Fees

  • BirthBridge may charge additional platform fees for use of the Platform. These fees will be clearly outlined in your BirthBridge Provider Agreement or displayed during service listing setup.


5. Liability and Indemnification

5.1 Stripe-Related Issues

  • You acknowledge that BirthBridge is not responsible for any issues arising from your use of Stripe, including but not limited to:

    • Payment delays or failures.

    • Account suspensions or terminations by Stripe.

    • Errors in processing or transactions.

5.2 Digital Wallet Discrepancies

  • You acknowledge that balances displayed in your digital wallet on the BirthBridge platform may occasionally reflect incorrect amounts due to technical issues or bugs.

  • If you notice discrepancies, you agree to report them immediately. The final balance as determined by Stripe and BirthBridge will prevail. BirthBridge is not liable for any errors or losses resulting from such discrepancies.

5.3 Indemnification

  • You agree to indemnify and hold BirthBridge harmless from any claims, damages, losses, or expenses (including attorneys’ fees) arising out of:

    • Your use of Stripe.

    • Any errors or disputes related to payments.


6. Dispute Resolution

6.1 Stripe Payment Disputes

  • Any disputes related to payments processed through Stripe must be resolved directly with Stripe.

  • BirthBridge will provide reasonable assistance in providing information about transactions but is not responsible for mediating disputes between you and Stripe.

6.2 Disputes with Customers

  • Payment disputes between you and your customers must be resolved in good faith. BirthBridge is not liable for mediating or resolving these disputes.


7. Withdrawal of Payments

7.1 Manual Withdrawals

  • You may manually withdraw funds from your Stripe account through the digital wallet feature on the BirthBridge platform at any time.

7.2 Auto-Withdrawals

  • Any balance remaining in your Stripe account will be automatically withdrawn to the bank account on file with Stripe on the 1st of every quarter.

  • It is your responsibility to ensure that your banking information is accurate and up-to-date in your Stripe account to avoid delays or issues with auto-withdrawals.


8. User Responsibilities

  • You agree to provide accurate and current information during the Stripe account setup process.

  • You are responsible for ensuring that your payment and banking details are accurate to avoid payment delays or errors.

  • You must comply with all applicable tax laws and reporting requirements related to income earned through the BirthBridge platform. BirthBridge is not responsible for tax filings on your behalf.


9. Data Security for Payments

  • BirthBridge uses secure payment integration to protect payment information during transactions.

  • Payment data is encrypted during transmission and handled directly by Stripe. BirthBridge does not store sensitive payment information, such as credit card details or bank account numbers.


10. Termination of Stripe Payments

10.1 By You

  • You may disable Stripe payments at any time through your BirthBridge account settings.

  • Opting out of Stripe payments means you will no longer be able to collect payments on the BirthBridge platform. However, you may still use other non-payment-related features of the platform.

10.2 By BirthBridge

  • BirthBridge reserves the right to disable Stripe payments on your account at any time, with or without cause.


11. Governing Law

This Waiver is governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of law principles.


12. Changes to this Waiver

BirthBridge reserves the right to modify this Waiver at any time. You will be notified of any significant changes, and your continued use of Stripe payments constitutes acceptance of the revised Waiver.
